So Whataburger is no longer a family company, but it is not owned by a burger conglomerate either. It is a private, standalone chain inside an investment firm's portfolio.

BDT Capital merged with MSD Partners, the investment arm tied to Michael Dell's family office, in January 2023, so the Whataburger stake now sits with the combined BDT & MSD Partners. Byron Trott, a former Goldman Sachs banker known as an adviser to Warren Buffett, founded BDT and is co-CEO of the merged firm.

How much did BDT pay for Whataburger?

Neither side disclosed the price. Before the deal, Reuters reported that the chain could fetch a valuation of more than $6 billion. A Bloomberg report reprinted in the Arkansas Democrat-Gazette in October 2019 said the BDT deal valued Whataburger at $4.7 billion. Treat both as reported figures, since no filing confirms them.

The Dobsons hired Morgan Stanley to explore options in May 2019, and the sale to BDT was announced on June 14, 2019. The company said the headquarters would stay in San Antonio, which was the main worry for many Texans at the time.

Is Whataburger publicly traded?

No. Whataburger is private, so there is no Whataburger stock to buy. The closest thing to public financial information is its debt: Bloomberg reported in 2024 that the company was refinancing a leveraged loan of about $2.7 billion.

The Dobson family ran Whataburger for 69 years before selling control.

Is Whataburger still owned by the Dobson family?

Partly. The family sold majority control to BDT in 2019 but kept a minority stake, and that stake has not been reported as sold since. Its size has never been published, so figures you may see online, such as 10% to 15%, are estimates rather than disclosed numbers.

How I checked this

I used the 2019 deal coverage from the Dallas Morning News and San Antonio Report, Bloomberg's reported valuation, BDT & MSD's own merger announcement, and QSR Magazine's 2026 ranking for sales and unit counts. Whataburger is private and does not publish ownership percentages or profits, so the stakes above are described rather than quantified.
