Does McDonald's own Chipotle?
No. McDonald's has owned no part of Chipotle since October 2006. It was Chipotle's controlling shareholder for about eight years before that, which is why the question keeps coming up. Here is what Chipotle's and McDonald's own SEC filings say happened:
| Date | What happened | McDonald's stake | Source |
|---|---|---|---|
| 1993 | Steve Ells opens the first Chipotle in Denver, Colorado | None | Chipotle 2006 10-K |
| February 1998 | McDonald's makes an equity investment and becomes the majority shareholder | Majority | Chipotle 2006 10-K |
| January 2006, before the IPO | McDonald's still controls the company | About 91% | Chipotle S-1/A, Jan 23, 2006 |
| January 2006, IPO | Chipotle lists class A shares; McDonald's sells part of its stake | 88% of votes, 69% of the economics | Chipotle S-1/A and 2006 10-K |
| May 2006 | McDonald's sells more shares in a secondary offering | Lower | Chipotle 2006 10-K |
| October 2006 | McDonald's swaps all its remaining Chipotle shares for its own shares in a tax-free exchange offer | None | McDonald's and Chipotle 2006 10-Ks |
McDonald's 2006 annual report says it took back 18.6 million of its own shares in that October 2006 exchange, at an effective price of $39.92 each. It booked $671 million of income in 2006 from discontinued operations, mainly the Chipotle disposal.
So the answer to "was Chipotle owned by McDonald's?" is yes, from 1998 to 2006. The answer to "does McDonald's own Chipotle?" today is no. For what McDonald's does own, see who owns McDonald's.
Who are Chipotle's largest shareholders?
Big index and fund managers. This table uses the institutional holdings compiled from Form 13F filings for June 30, 2026, the latest full quarter. Percentages are my calculation against the 1,265,418,000 shares Chipotle reported outstanding on July 24, 2026.
| Rank | Shareholder | Shares held | Share of Chipotle | As of |
|---|---|---|---|---|
| 1 | Vanguard (Vanguard Capital Management and Vanguard Portfolio Management) | 144,136,131 | 11.4% | June 30, 2026 |
| 2 | BlackRock, Inc. | 129,925,735 | 10.3% | June 30, 2026 |
| 3 | JPMorgan Chase & Co. | 66,168,691 | 5.2% | June 30, 2026 |
| 4 | State Street Corp. | 55,667,783 | 4.4% | June 30, 2026 |
| 5 | Capital World Investors | 45,806,251 | 3.6% | June 30, 2026 |
| 6 | T. Rowe Price Associates | 38,691,847 | 3.1% | June 30, 2026 |
| 7 | Geode Capital Management | 36,374,611 | 2.9% | June 30, 2026 |
| 8 | FMR LLC (Fidelity) | 34,290,443 | 2.7% | June 30, 2026 |
| 9 | Capital International Investors | 30,126,283 | 2.4% | June 30, 2026 |
| 10 | Norges Bank (Norway's oil fund) | 25,846,578 | 2.0% | June 30, 2026 |
I checked the Norges Bank line against its own 13F filed August 12, 2026, which lists exactly 25,846,578 Chipotle shares. Vanguard appears as two entities because it split up its reporting in January 2026; Chipotle's proxy statement explains the change.
Chipotle's own proxy, which counts shares at April 15, 2026, named only two holders above 5%: Vanguard with 11.25% and Capital World Investors with 7.92%, both based on filings for December 31, 2025. Capital World cut its holding by about 43% in the second quarter, which is why it is lower in the June table.
Directors and executive officers as a group owned 0.45% at April 15, 2026. No founder or family controls the company.
Who controls Chipotle?
The board, elected every year by shareholders. At the June 11, 2026 annual meeting, shareholders re-elected all ten nominees. Scott Maw is the independent chairman. The board added an eleventh director, former Yum! Brands executive Sabir Sami, on September 14, 2026.
Scott Boatwright runs the company day to day. He has been CEO since November 2024, after serving as interim CEO from August 2024, when Brian Niccol left for Starbucks. He joined Chipotle in 2017 from Arby's.
Is Chipotle franchised?
No, not in the US. Chipotle owned and ran 4,186 restaurants on June 30, 2026: 4,074 in the US and 112 abroad. It also had 15 partner-operated restaurants outside the US, run by third parties under license or franchise agreements, according to its second quarter 10-Q. You cannot buy a Chipotle franchise in the US.
What was the 2015 Chipotle scandal?
A run of food safety outbreaks that started in 2015 and ended in the largest fine ever paid in a US food safety case.
- E. coli, late 2015. The CDC linked two outbreaks of E. coli O26 to Chipotle: 55 people in 11 states, 21 of them hospitalized, and a smaller one of 5 people in 3 states. The CDC's final update was February 1, 2016.
- Norovirus and Clostridium perfringens, 2015 to 2018. The Justice Department found at least five outbreaks at Chipotle restaurants that sickened more than 1,100 people. They included 234 people in Simi Valley, California, in August 2015, 141 in Boston in December 2015 and about 647 in Powell, Ohio, in July 2018.
On April 21, 2020, Chipotle agreed to pay a $25 million criminal fine and enter a three-year deferred prosecution agreement to resolve a charge of adulterating food under the Federal Food, Drug, and Cosmetic Act. The Justice Department called the fine "the largest ever in a food safety case." Chipotle also agreed to develop and follow an improved food safety compliance program.
The outbreaks hit sales hard and opened the door to activist investors, and the company brought in Brian Niccol as CEO in 2018.
