Key takeaways
- December 2025: Nvidia licensed technology and hired personnel, without buying Groq equity in this transaction.
- February 2026 filing: $13B paid and $4B payable, inclusive of imputed interest.
- September 2025: Groq raised $750M at a $6.9B post-money financing valuation.
- A $17B licence payment schedule is not a new company financing valuation.
What changed in 2026
I opened Nvidia’s FY2026 annual report and compared its Groq note with the December company announcement. Together they give a more precise ownership answer than a headline calling this a takeover.
Technology rights and personnel moved into Nvidia’s orbit while Groq described an independent business and continuing GroqCloud. The remaining company’s assets, strategy and earnings potential therefore need a fresh examination. The old fundraising price cannot simply be relabeled an exit price.
Groq’s June 22 growth-capital announcement adds $650 million led by Disruptive and Infinitum. It identifies Adam Winter as CEO and Alex Davis as chair, superseding the December appointment record.
Who owns Groq?
The investor table dates participation to the September financing. It does not disclose a full post-licensing shareholder register. The founder’s departure does not establish whether he retained shares, sold them or received distributions.
Licensing technology is contractual permission; buying stock is ownership of an entity. Hiring a team, purchasing equipment and obtaining rights can change competitive economics without creating a corporate parent. The Ownership archive keeps those distinctions visible.
The current privacy policy names Groq LLC, while Nvidia’s transaction filing identifies Groq, Inc. I preserve that distinction rather than assuming both documents describe the same corporate form on the same date. The policy’s displayed effective date does not establish when a conversion occurred.

Is Groq owned by Nvidia?
The reviewed transaction did not acquire Groq’s shares. Nvidia says it purchased no equity interests, customer contracts or existing products. That answers the scope of this transaction, rather than asserting that the parties could never have other financial relationships.
Non-exclusive rights are another separate dimension. That description does not reveal every constraint on future development or every retained intellectual-property right. I have not obtained the executed agreement and do not reconstruct provisions absent from the public statements.
This distinction also matters in who owns ChatGPT and OpenAI. Commercial access to technology and ownership of its developer require separate records, even when the commercial relationship is large enough to reshape both businesses.
Why the old valuation does not price today’s Groq
The 2024 company financing announcement names BlackRock-managed funds and accounts as the lead, with Neuberger Berman, Type One Ventures and strategic investors including Cisco Investments and Samsung Catalyst Fund. This is evidence of participation at that date. It is not a present-day ranking of the largest shareholders, and BlackRock’s name does not mean its public company directly holds every investment attributed to its funds.
My comparison of the $2.8B and $6.9B financing values produces a roughly 2.46-fold increase. Both dates precede the Nvidia licensing and hiring agreement. A chart can preserve those two historical observations, but it cannot extend the $6.9B figure through the deal as if the business, workforce and rights were unchanged.
The difficult ownership question after the agreement is the perimeter of the remaining company. Who owns shares in Groq, which technology can Nvidia use, and which staff now work for the licensee are three different investigations. The public releases answer parts of the latter two. They do not provide an updated shareholder register, a distribution schedule or a complete valuation of Groq’s remaining operations.
This also changes how I read founder wealth headlines. Technology licence proceeds may be received and allocated under terms that are not public. A headline transaction value multiplied by an assumed founder stake would conceal those missing terms. I would need actual ownership, preferences, liabilities and the treatment of proceeds before reporting a personal estimate.
For readers comparing chip businesses, the public shareholder question explains ownership on the other side of this transaction. Groq’s private share access and Nvidia’s listed stock are separate instruments. Buying the licensee’s shares does not give an investor a direct registered holding in Groq.
How the founders built Groq
Groq’s financing release dates its founding to 2016 and identifies Jonathan Ross as founder and CEO at that time. The December release describes his move to Nvidia and names Simon Edwards to lead independent Groq. An old fundraising title should not be carried forward as a current executive title.
The licensing price does not establish Ross’s personal net worth. That calculation needs his actual interest, distribution rights, liabilities and other assets. Payments for workforce and technology rights need not become cash paid to a founder in proportion to a guessed stake. A future Ross profile should be sourced before it is linked here.
Funding and valuation history
The September company release establishes a priced financing. The later licensing payment is a different transaction. Joining $6.9B to $17B in a rising valuation chart would compare unlike measures.
I retain the single verified financing observation and the transaction table. Earlier rounds can extend the chart after contemporaneous prices and terms are checked. The value of Groq’s continuing independent business is not established by Nvidia’s payment schedule.
A prospective investor also needs to understand how the transaction altered the business being purchased. Historical revenue, engineering capacity and product plans may not describe the residual operation on the same basis. A before-and-after comparison needs a clear perimeter, not merely a change in headline price.

I read the two bars as pre-agreement funding benchmarks. The rise from $2.8B to $6.9B does not establish a post-licensing valuation for the remaining company.

The $20B headline becomes a $13B-plus-$4B filing schedule
The annual report’s cash schedule totals $17B, including imputed interest in the amount payable. I use that documented figure rather than presenting an unverified approximately $20B headline as filed consideration.
My read: reconciling transaction type and payment timing is more useful than selecting the biggest number. Cash paid at closing and a future obligation differ. Neither establishes the company’s post-deal value or a payment to each individual shareholder.
Nvidia also records goodwill and developed technology. Accounting for a workforce and future development can involve goodwill even when no equity interests were purchased. Goodwill alone is therefore insufficient evidence that Groq became a subsidiary.
The June announcement supplies a post-agreement capital and management record: reinvesting investors, new funding and a different CEO. It does not reprice the remaining company. I keep the $650 million off the valuation chart because no price is disclosed.

Can you buy Groq stock? What about an IPO?
No public Groq listing is established in the records checked. Buying Nvidia shares buys Nvidia’s wider business, not direct ownership of independent Groq. Private vehicles also require their own holdings, fee and share-class disclosures.
There is no substantiated Groq IPO date in these sources. The licence may alter the remaining company’s strategy, but I do not infer a listing schedule from it. Lambda’s ownership investigation separates a reported IPO aim from completed financing, while Crusoe’s company file distinguishes initial closings from anticipated totals.
Frequently asked questions
Who owns Groq now?
Groq remains an independent private business in the reviewed company announcement. Its September financing named institutional investors, but current percentages after the licence are not disclosed. This article maps dated investor identities rather than claiming to reproduce a complete current shareholder register.
Did Nvidia acquire Groq?
Nvidia’s annual report describes non-exclusive licensing and hiring and says no equity interests were purchased. That establishes this transaction’s scope. It does not disclose every private arrangement between the parties or establish the market value of the continuing independent Groq business.
Is Groq stock publicly traded?
No public Groq listing is established by these checked records. Private shares, fund units and contractual exposure are distinct instruments. A platform’s indicative price is not a liquid exchange quote and does not itself establish that an issuer permits the underlying shares to be transferred.
Is Groq the same as Grok?
Groq is the inference technology and cloud business in the financing and licence records here. Similar spelling is not evidence of shared ownership with a chatbot called Grok. Confirm the legal entity and website before relying on a stock result, investor list or valuation.
Who is the CEO of Groq?
Adam Winter is identified as CEO in Groq’s June 22, 2026 growth-capital announcement. That newer record supersedes December 2025’s appointment of Simon Edwards. Alex Davis is chair. The company remains described as independent; neither a management title nor a financing lead establishes a disclosed controlling share percentage.
What is Groq’s current valuation?
The $6.9B post-money benchmark comes from September 2025, before the Nvidia agreement. Groq’s June 2026 announcement adds $650M of growth capital without a valuation. I therefore retain the earlier price as historical and do not assign a new price to the remaining independent business.
What I am watching next
Next buyer filing: check the unpaid consideration and subsequent treatment of the licence.
Next ownership evidence: seek a current shareholder disclosure rather than treating staff hiring as share sales.
Next financing: confirm that a new priced round concerns the continuing Groq entity and its post-deal perimeter.
Our independent research methodology
I cross-read the company licensing announcement, company-issued financing releases, including June 2026 leadership and growth capital and Nvidia’s annual report. The filing establishes scope and consideration; the release establishes dated participation. I did not obtain a private cap table, executed licence or founder distribution schedule. Our research methodology preserves those boundaries.
