Most pages that rank for this question stop at "PDD owns it." I wanted the actual chain, so I opened PDD's annual report for fiscal 2025 (Form 20-F, filed with the SEC on April 29, 2026), its list of subsidiaries, its earnings releases and the insider filings posted on its investor relations site. Here is what those documents show, and where they run out.

The Temu ownership chain, from the filings

This tree is built from the 20-F cover page and Exhibit 8.1 (list of principal subsidiaries) of the fiscal 2025 20-F. It is simplified: Exhibit 8.1 names 13 subsidiaries plus a variable interest entity (VIE), and notes that 9 more wholly owned subsidiaries under Pinduoduo Investment Limited are omitted.

Public shareholders (ADSs on Nasdaq) + Colin Huang + Tencent + other holders
└── PDD Holdings Inc. (Cayman Islands; principal office: Dublin, Ireland)
├── Elementary Technology Limited (British Virgin Islands)
│ └── (intermediate entities, incl. Elementary Innovation Pte. Ltd., Singapore)
      ├── Whaleco Technology Limited (Ireland)
├── Whaleco Inc. (Delaware) <-- operates Temu in the US ("d/b/a Temu" per DOJ)
├── Pinduoduo Investment Limited (British Virgin Islands)
├── HongKong Walnut Street Limited (Hong Kong)
│ └── Hangzhou Weimi Network Technology Co., Ltd. (Chinese mainland)
│ └── contractual control of the VIE:
│ Hangzhou Aimi Network Technology Co., Ltd. (Chinese mainland)
│ └── Shanghai Xunmeng Information Technology Co., Ltd.
└── Pinduoduo (Shanghai) Network Technology Co., Ltd. and other mainland entities

Two caveats. First, Exhibit 8.1 lists each entity and its place of incorporation but does not draw every intermediate parent link, so the nesting under Elementary Technology and HongKong Walnut Street is my reading of the naming, not a filing diagram. Second, the Whaleco Inc. "d/b/a Temu" detail comes from the US Department of Justice, which named "Whaleco Inc., doing business as Temu" in a September 8, 2025 settlement (covered below).

Entity Where incorporated Role Source
PDD Holdings Inc. Cayman Islands Listed parent, "holding company... with no operations of its own" 2025 20-F
Whaleco Inc. Delaware US Temu operator 20-F Ex. 8.1; DOJ, Sept. 8, 2025
Whaleco Technology Limited Ireland Subsidiary 20-F Ex. 8.1
Hangzhou Weimi Chinese mainland Subsidiary that holds the VIE contracts 2025 20-F
Hangzhou Aimi (VIE) Chinese mainland Consolidated by contract, not equity 2025 20-F

Is Temu owned by China?

Not by the Chinese government, according to the company's own filings, but the group has deep roots and large operations in mainland China. Here is what the fiscal 2025 20-F states, plainly:

  • Incorporation: PDD Holdings is incorporated in the Cayman Islands.
  • Headquarters: Its principal executive office is First Floor, 25 St Stephen's Green, Dublin 2, Ireland. Every insider Form 3 and Form 4 I opened from 2026 uses that same Dublin address.
  • Operations: The 20-F says PDD conducts business "through a number of operating entities incorporated in jurisdictions across the globe," and that its Chinese mainland operations run "primarily through our Chinese mainland subsidiaries, the VIE and its subsidiaries."
  • The VIE: Hangzhou Aimi is "a PRC entity in which we do not have equity interests but whose financial results are consolidated." The 20-F says the VIE accounted for 13.1% of total revenue in 2025, and (per the filing text as reproduced by Stock Titan) its equity is held by co-CEOs Lei Chen (86.6%) and Jiazhen Zhao (13.4%).
  • Temu itself: The 20-F says Temu was founded in Boston in 2022 and serves consumers in markets including the United States, Japan and Germany.

So the accurate answer is: Temu's parent is an offshore-incorporated, Dublin-headquartered, Nasdaq-listed company whose founder and largest shareholder is a Chinese citizen (Forbes lists his residence as Shanghai), and which runs its Pinduoduo business through mainland subsidiaries and a VIE. I found no statement in the documents I opened that any Chinese state entity holds an equity stake. The 20-F's risk factors do discuss Chinese regulators, including the Cyberspace Administration of China, as well as US, EU and UK data rules.

How rich is Temu's owner?

Colin Huang founded Pinduoduo, stepped down as chairman in 2021 and "remains a major shareholder," per his Forbes profile (bio updated March 10, 2026). Forbes put his real-time net worth at $28.7 billion as of October 10, 2026, ranking him #81 in the world that day and #58 on the Forbes 2026 Billionaires list.

His stake, from the filings I could open:

  • Last Schedule 13G I opened (March 18, 2021): Zheng Huang reported beneficial ownership of 1,409,744,080 Class A ordinary shares, 28.1% of the 5,011,761,304 shares then outstanding, with sole voting power. The shares were held by Walnut Street Investment, Ltd. (1,134,932,140) and Walnut Street Management, Ltd. (274,811,940), both controlled by Steam Water Limited, which Huang owns through a British Virgin Islands trust whose beneficiaries are Huang and his family.
  • MarketScreener (viewed October 16, 2026): still lists Zheng Huang with the same 1,409,744,080 shares, shown as 27.87%.

I could not open Item 7 (Major Shareholders) of the fiscal 2025 20-F through my tools, so I am not quoting the company's own 2026 percentage. As a cross-check only: 1,409,744,080 shares against the 5,693,585,848 Class A shares outstanding on December 31, 2025 (20-F cover page) works out to about 24.8%. Data providers disagree here; Simply Wall St shows him at 31.3%. Treat any single percentage as approximate until you read Item 7 yourself.

Valuing that block: each PDD ADS equals four Class A shares, so 1,409,744,080 shares equal 352,436,020 ADSs. At $82.20 per ADS, the price on a director's Form 4 sale dated September 3, 2026, that is roughly $29.0 billion, close to Forbes' $28.7 billion. For other self-made fortunes in context, see our billionaires by state breakdown.

Who are PDD's largest shareholders?

PDD's 20-F carries a major shareholders table in Item 7, but as noted I could not retrieve that section, so the table below uses the dated sources I did open.

Holder Shares (Class A) Stake Source and date
Zheng (Colin) Huang 1,409,744,080 28.1% (2021 basis); 27.87% per MarketScreener 13G/A, Mar. 18, 2021; MarketScreener, viewed Oct. 16, 2026
Tencent Holdings Limited 783,468,116 15.49% MarketScreener, viewed Oct. 16, 2026
Quantum Dot Ltd. 370,772,220 7.33% MarketScreener, viewed Oct. 16, 2026
Lei Chen (co-CEO) 28,320,000 0.56% MarketScreener, viewed Oct. 16, 2026
Baillie Gifford & Co. 26,594,535 1.87% MarketScreener, viewed Oct. 16, 2026
Vanguard Capital Management 24,646,256 1.74% MarketScreener, viewed Oct. 16, 2026

The 20-F confirms Tencent is a related party: its income statement notes services received from related parties, and the filing names "Tencent Group" among them. Lei Chen's own Form 3 (March 18, 2026) lists stock options rather than directly held shares, a reminder that aggregator share counts and insider filings do not always line up.

One governance note from the 20-F's risk factors: the "PDD Partnership, once effective, may impact your ability to appoint executive directors." In other words, public shareholders own most of the economics, but a partnership mechanism could shape board control.

How Temu makes money

PDD does not report Temu as a separate segment. It reports two revenue lines that combine Pinduoduo and Temu: online marketing services and others (largely merchant advertising) and transaction services (commissions and fees on transactions).

Fiscal 2025 (year ended December 31, 2025), per the March 25, 2026 earnings release:

Revenue line FY2025 FY2024 Change
Online marketing services and others RMB217,783.0m (US$31,142.6m) RMB197,934.2m +10%
Transaction services RMB214,062.7m (US$30,610.6m) RMB195,901.9m +9%
Total revenue RMB431,845.7m (US$61,753.1m) RMB393,836.1m +10%

The audited 20-F income statement shows the same total revenue and net income attributable to ordinary shareholders of RMB97,842.5 million (US$13,991.3 million) for 2025, down from RMB112,434.5 million in 2024. The unaudited March release had reported RMB99,364.5 million, so use the 20-F figure. The release converts at RMB6.9931 per US dollar (December 31, 2025).

Latest quarter, Q2 2026 (three months ended June 30, 2026), per the August 24, 2026 release:

Revenue line Q2 2026 Q2 2025 Change
Online marketing services and others RMB57,637m (US$8,494m) RMB55,703m +3% (my calculation)
Transaction services RMB54,721m (US$8,066m) RMB48,282m +13%
Total revenue RMB112,358m (US$16,560m) RMB103,985m +8%

Net income attributable to ordinary shareholders was RMB27,182 million (US$4,006 million) in Q2 2026, down 12% year on year. Transaction services, the line that includes Temu's cross-border commissions and fees, grew faster than advertising, which fits Temu's rising weight in the mix, though PDD does not break Temu out.

Is Temu safe and trustworthy?

I can't rate an app's safety from filings, so here is the official record I verified, plus the company's response where one was published.

Date Regulator Action Status
Sept. 8, 2025 US DOJ with the FTC Stipulated order against Whaleco Inc. d/b/a Temu over alleged INFORM Consumers Act violations (seller disclosure and reporting tools); $2 million civil penalty plus compliance measures Resolved by court order (D. Mass.)
May 28, 2026 European Commission Non-compliance decision under the Digital Services Act for failing to properly assess systemic risks of illegal products; €200 million fine; action plan due Aug. 28, 2026 Decision issued
June 12, 2025 Nebraska Attorney General Lawsuit alleging deceptive data collection, misleading listings and "local" labels, and infringement Allegations
July 17, 2025 Kentucky Attorney General Lawsuit alleging improper collection of residents' data Allegations
July 1, 2026 Iowa Attorney General Lawsuit under the Iowa Consumer Fraud Act over data practices, pricing and IP Allegations
Oct. 2026 Missouri Attorney General Lawsuit under the Missouri Merchandising Practices Act over data collection, pricing and counterfeit goods Allegations

Two distinctions matter. The DOJ and EU actions are concluded regulatory outcomes with set penalties; the DOJ release describes the violations as "alleged," and I did not see an admission of liability. The state cases are lawsuits, and their allegations have not been proven in court. The Missouri case was announced the week this article was checked, and I could not open the Missouri Attorney General's own release, so I relied on KCUR's report.

Temu's response: In a statement reported July 21, 2025, a Temu spokesperson said the Kentucky allegations "are based on misinformation circulated online, primarily from a short-seller, and are totally unfounded," adding, "We categorically deny the claims and will defend ourselves vigorously." I did not find a published company response to the EU fine or the Missouri suit in the sources I opened.

Bottom line

Temu belongs to PDD Holdings, a Cayman-incorporated, Dublin-headquartered Nasdaq company whose US Temu business sits in Whaleco Inc. of Delaware and whose sister platform, Pinduoduo, runs in mainland China through subsidiaries and a VIE. Colin Huang is the largest shareholder, with about 1.41 billion shares on the last 13G I opened, worth roughly $29 billion at the September 2026 price, and Tencent ranks second. Temu's revenue flows into PDD's advertising and transaction-fee lines, which totaled about US$61.8 billion in 2025.
